Terms of Service

These Terms of Service (“Terms”) govern your access to and use of the WATO mobile application, website and related services collectively referred to as the “Service”.

WATO is operated by MiddleMan Online Ltd (“WATO”, “MiddleMan Online”, “we”, “us” or “our”).

Please read these Terms carefully before using WATO.

1. Acceptance of these Terms

By creating an account, logging in, accessing or using WATO, you confirm that:

  • You have read and understood these Terms.
  • You agree to be bound by these Terms.
  • You have read our Privacy Policy.
  • You agree to comply with our Community Standards and acceptable-use requirements.

Before registering or logging in, you may be required to actively confirm your agreement to these Terms and our Privacy Policy.

If you do not agree to these Terms, you must not create an account or use WATO.

2. Eligibility

You must be at least 13 years old to create an account or use WATO.

If you are under the age of legal majority in your country or region, you may only use WATO with the permission and supervision of a parent or legal guardian.

By using WATO, you represent that:

  • You meet the applicable minimum-age requirement.
  • You are legally able to agree to these Terms.
  • Any information you provide is accurate and not misleading.
  • You are not prohibited from using the Service under applicable law.

We may request reasonable information to confirm your eligibility.

3. The WATO Service

WATO is a travel-overlap and social coordination platform that helps users identify when their travel plans overlap with those of their friends or members of communities they have joined.

Depending on the features available to your account, WATO may allow you to:

  • Create and manage a user profile.
  • Add or connect with friends.
  • Enter and manage travel plans.
  • Identify travel overlaps with connected users.
  • Create, discover or join communities.
  • Exchange private direct messages with connected friends.
  • Receive notifications relating to friends, communities, trips and overlaps.
  • Connect supported third-party travel or calendar services.
  • Access free or paid features.

WATO does not provide a public social feed, public user posts, public comments or community group chats.

Communities are used to organise connections and identify potential travel overlaps between members. They are not public discussion forums.

WATO is not a travel agency, airline, accommodation provider, booking platform, emergency service or official travel-information service.

4. Your Account

You are responsible for:

  • Keeping your login credentials secure.
  • All activity carried out through your account.
  • Providing accurate and up-to-date account information.
  • Preventing unauthorised access to your account and device.
  • Informing us promptly if you suspect that your account has been compromised.

You must not:

  • Share your account with another person.
  • Create an account using false or misleading information.
  • Impersonate another person or organisation.
  • Create multiple accounts to evade a restriction or suspension.
  • Access another user's account without permission.

You must notify us promptly at info@middleman.online if you believe your account has been accessed without authorisation.

5. Privacy and Travel Information

Your use of WATO is also governed by our Privacy Policy.

You may provide travel information including destinations, dates, flights, accommodation details or other trip-related information.

WATO uses travel information to operate its overlap-matching features. Your complete trip details are not published as a public social feed.

Certain information relating to a travel overlap may be displayed to connected friends or relevant community members where necessary to provide the Service. The information displayed may depend on your relationship with the other user, the community involved, your account settings and the features currently available.

You must not enter another person's private travel or personal information unless you have their permission to do so.

You acknowledge that sharing travel information may involve privacy and personal-safety risks. You are responsible for considering what information you provide and who you connect with.

6. User-Provided Content

“User Content” means information or material that a user submits, uploads, creates, sends or makes available through WATO.

User Content may include:

  • Display names and usernames.
  • Profile photographs.
  • Community names and community information.
  • Travel information.
  • Private direct messages.
  • Report descriptions and supporting information.
  • Other information submitted through the Service.

You retain ownership of your User Content.

By submitting User Content, you grant WATO a limited, non-exclusive, worldwide, royalty-free licence to host, store, process, reproduce, transmit and display that content only as reasonably necessary to:

  • Operate and provide the Service.
  • Deliver messages to their intended recipients.
  • Display profiles and communities.
  • Identify travel overlaps.
  • Maintain, secure and improve the Service.
  • Investigate reports and enforce these Terms.
  • Comply with legal obligations.

This licence ends when your User Content is deleted, except where continued retention is reasonably required for legal, security, fraud-prevention or moderation purposes.

You represent that:

  • You own your User Content or have permission to submit it.
  • Your User Content does not infringe another person's rights.
  • Your User Content complies with these Terms and applicable law.

7. Private Direct Messaging

WATO allows connected friends to exchange private direct messages.

Direct messaging must only be used for lawful and appropriate communication.

You must not use direct messaging to:

  • Harass, threaten, intimidate or abuse another person.
  • Send hateful, discriminatory or degrading content.
  • Send sexually explicit, pornographic or exploitative content.
  • Send violent threats or encourage self-harm.
  • Send scams, fraud, spam or unsolicited commercial messages.
  • Impersonate another person.
  • Share another person's confidential or private information without permission.
  • Send content that infringes intellectual-property or privacy rights.
  • Groom, exploit or endanger a child.
  • Arrange or encourage unlawful activity.
  • Circumvent a block, suspension or other safety restriction.

Private messages may be processed by automated safety systems. Messages may also be accessed and reviewed by authorised WATO personnel when they are reported, where required to investigate abuse, or where access is required by law.

8. Community Standards and Zero-Tolerance Policy

WATO has zero tolerance for objectionable content, abusive behaviour, harassment or users who misuse the Service.

You must not create, upload, send or display content that is:

  • Unlawful or fraudulent.
  • Abusive, threatening, intimidating or harassing.
  • Hateful or discriminatory.
  • Defamatory or deliberately humiliating.
  • Sexually explicit, pornographic or exploitative.
  • Violent or intended to encourage physical harm.
  • Intended to encourage suicide or self-harm.
  • Invasive of another person's privacy.
  • Deceptive, misleading or impersonating another person.
  • Spam or unsolicited advertising.
  • Harmful to children.
  • Infringing of intellectual-property or other legal rights.
  • Otherwise seriously offensive or objectionable.

You must not use a username, display name, profile image, community name, community description or message to violate these standards.

We may determine, acting reasonably, whether particular content or conduct violates these Terms.

9. Content Filtering

WATO may use automated systems, keyword filters, technical restrictions and manual review processes to detect, prevent or limit objectionable content.

These measures may apply to:

  • Direct messages.
  • Usernames and display names.
  • Community names and descriptions.
  • Profile information.
  • Images and other uploaded material.

Content may be prevented from being submitted, hidden, restricted, removed or referred for moderation review.

No filtering system is perfect. The presence of filtering does not remove each user's responsibility to comply with these Terms or to report inappropriate conduct.

You must not deliberately alter spelling, use symbols or otherwise attempt to bypass WATO's content-safety filters.

10. Reporting Objectionable Content and Abusive Users

Users may report potentially objectionable content or abusive behaviour through the reporting tools provided within WATO.

Reports may relate to:

  • A direct message.
  • Another user or user profile.
  • A username or display name.
  • A profile photograph.
  • A community or community name.
  • Harassment, threats, spam or other abusive conduct.

When submitting a report, you must:

  • Act honestly and in good faith.
  • Select an accurate reporting reason.
  • Provide relevant information where requested.
  • Avoid submitting knowingly false or malicious reports.

Reports may include a copy or snapshot of the reported content, relevant account identifiers and other information required to investigate the issue.

We will review reports of objectionable content or abusive conduct and take appropriate action within 24 hours of receiving the report.

Appropriate action may include:

  • Removing or restricting content.
  • Warning the responsible user.
  • Temporarily limiting account functionality.
  • Suspending an account.
  • Permanently terminating an account.
  • Preserving relevant information for legal or safety reasons.
  • Reporting conduct to law-enforcement or safeguarding authorities where appropriate.

Submitting a report does not guarantee a particular outcome, but every valid safety report will be assessed in accordance with our moderation process.

Urgent safety concerns may also be sent to info@middleman.online.

Where there is an immediate danger or threat to physical safety, contact the relevant local emergency service.

11. Blocking Users

WATO allows users to block other users.

Blocking a user will immediately restrict that user's ability to contact or interact with you through the applicable WATO features.

Depending on the context and features involved, blocking may:

  • Prevent new direct messages.
  • Prevent new friend requests.
  • Hide or restrict the existing conversation.
  • Remove or restrict the blocked user from your active friend and social views.
  • Prevent or limit future overlap information from being shown between the two accounts.
  • Restrict other interactions supported by WATO.

Blocking an abusive user will also create a moderation notification or record for WATO so that the conduct can be reviewed.

Some limited information may remain visible where required for shared community administration, record-keeping, safety, fraud prevention or legal compliance. However, the blocked user will not be permitted to use those records to contact you.

You must not create another account or use another person's account to contact someone who has blocked you.

12. Moderation and Enforcement

We reserve the right to investigate suspected violations of these Terms.

During an investigation, we may:

  • Review reported content.
  • Restrict access to content or features.
  • Temporarily suspend an account.
  • Request additional information.
  • Preserve relevant records.
  • Take steps reasonably necessary to protect users or the Service.

We may remove content or suspend or terminate an account where we reasonably believe that:

  • These Terms have been violated.
  • A user poses a risk to another person.
  • An account is being used for fraud, abuse or unlawful activity.
  • An account is attempting to bypass a previous enforcement action.
  • Removal or restriction is required by law.
  • Continued access would expose WATO or another person to material harm.

Serious violations may result in immediate permanent termination without prior warning.

Where reasonably appropriate, we may notify you of an enforcement decision. We are not required to disclose information that would compromise another person's privacy, safety, an investigation or our security systems.

13. Acceptable Technical Use

You must not:

  • Reverse engineer, decompile or attempt to extract WATO's source code except where applicable law expressly permits it.
  • Hack, damage, disrupt or interfere with the Service.
  • Attempt to bypass authentication, security or moderation systems.
  • Introduce malware, malicious code or harmful data.
  • Scrape, harvest or automatically collect user or platform data.
  • Use bots or automated tools without our written permission.
  • Test the vulnerability of the Service without authorisation.
  • Use WATO data to profile, track or monitor another person without their consent.
  • Resell, sublicense or commercially exploit access to the Service without our written permission.
  • Use WATO in a way that places an unreasonable burden on our systems.

14. Subscriptions and Paid Features

WATO may offer free features and paid subscription features, including features marketed as WATO Pro or under another subscription name.

The applicable price, subscription period, included features and renewal terms will be shown before purchase.

Depending on the platform and country, payments may be processed through:

  • Apple's App Store.
  • Google Play.
  • An authorised third-party payment provider.
  • Another payment method permitted by applicable law and platform rules.

Where a subscription is purchased through Apple or Google:

  • The relevant app store processes the payment.
  • The subscription may renew automatically unless cancelled through the relevant account settings.
  • Cancellation and refund requests are governed by the relevant store's terms and policies.
  • WATO does not directly control the app store's billing or refund decisions.

Where a subscription is purchased through another payment provider, the billing, renewal, cancellation and refund terms shown at the time of purchase will apply.

Deleting WATO or deleting your WATO account may not automatically cancel a subscription managed by Apple, Google or another provider. You are responsible for cancelling the subscription through the provider that processed the purchase.

We may change subscription prices or features. Any change will be communicated and implemented in accordance with applicable law and the relevant payment platform's requirements.

15. Third-Party Services and Information

WATO may rely on or connect with third-party services, including:

  • Authentication and cloud-service providers.
  • Notification services.
  • Mapping and location-search providers.
  • Flight-information providers.
  • Calendar services.
  • Payment processors.
  • Analytics and crash-reporting providers.

Third-party services may be governed by their own terms and privacy policies.

We do not control and are not responsible for:

  • The availability of a third-party service.
  • Errors or delays in third-party data.
  • Changes made by a third-party provider.
  • The accuracy of flight, travel, calendar or accommodation information received from third parties.

Travel information can change without notice. You must independently verify flights, times, dates, bookings, visa requirements, safety advice and other important travel information with the relevant official provider.

WATO must not be relied upon as the sole source for time-sensitive travel decisions.

16. Intellectual Property

WATO and its related branding, software, interfaces, designs, graphics, databases, features and original content are owned by or licensed to MiddleMan Online Ltd and are protected by applicable intellectual-property laws.

Except for the limited right to use the Service in accordance with these Terms, no intellectual-property rights are transferred to you.

You must not copy, modify, reproduce, distribute, sell, licence, publish or create derivative works from WATO without our prior written permission.

These restrictions do not apply to User Content that you own.

17. Service Availability and Changes

We aim to keep WATO available and operating reliably, but we do not guarantee that the Service will always be uninterrupted, secure or error-free.

We may:

  • Add, change or remove features.
  • Perform maintenance.
  • Restrict access to certain regions, devices or accounts.
  • Suspend parts of the Service.
  • Discontinue the Service.

Where reasonably possible, we will provide notice of material changes that significantly affect users.

We are not responsible for interruptions caused by circumstances outside our reasonable control, including internet failures, cloud-service outages, device failures, third-party service disruptions or events of force majeure.

18. Disclaimer of Warranties

To the fullest extent permitted by law, WATO is provided on an “as is” and “as available” basis.

We do not guarantee that:

  • WATO will meet every user's requirements.
  • Every potential travel overlap will be identified.
  • Trip or third-party information will always be accurate or current.
  • Every inappropriate message or user will be detected automatically.
  • The Service will always be available or free from errors.
  • Use of WATO will result in a meeting, friendship or successful travel arrangement.

Nothing in these Terms excludes any warranty or consumer right that cannot lawfully be excluded.

19. Personal Safety

WATO may help users discover that they will be in the same place at the same time. WATO does not verify every user's identity, intentions or conduct.

You are responsible for exercising appropriate care when interacting with another user online or meeting someone in person.

You should:

  • Avoid sharing unnecessary personal or financial information.
  • Use caution when sharing detailed travel or accommodation information.
  • Meet in an appropriate public place where possible.
  • Tell a trusted person about an in-person meeting.
  • Report threatening, suspicious or abusive conduct.
  • Contact local authorities where there is an immediate safety concern.

WATO is not responsible for supervising meetings or interactions arranged between users.

20. Limitation of Liability

Nothing in these Terms excludes or limits liability where doing so would be unlawful, including liability for fraud, fraudulent misrepresentation or any other liability that cannot legally be excluded.

To the fullest extent permitted by law, MiddleMan Online Ltd and its directors, employees, contractors and service providers will not be liable for indirect, incidental, special, punitive or consequential loss arising from your use of or inability to use WATO.

This may include:

  • Loss of data.
  • Loss of revenue or opportunity.
  • Missed travel connections.
  • Incorrect travel or overlap information.
  • Conduct by another user.
  • Reliance on third-party information.
  • Unavailability of the Service.

Where our liability cannot be excluded, it will be limited to the maximum extent permitted by applicable law.

Nothing in these Terms affects mandatory consumer rights available to you under the law of your country or region.

21. Indemnity

To the extent permitted by law, you agree to compensate MiddleMan Online Ltd for reasonable losses, claims, liabilities and expenses arising directly from:

  • Your unlawful use of WATO.
  • Your material violation of these Terms.
  • User Content that infringes another person's rights.
  • Fraudulent or deliberately abusive conduct carried out through your account.

This section does not apply where the loss was caused by our negligence or unlawful conduct.

22. Account Suspension, Termination and Deletion

You may stop using WATO at any time.

You may request or initiate account deletion through the account or Profile and Settings area where that functionality is available.

We may suspend, restrict or terminate your account where permitted under these Terms, including for:

  • Abusive behaviour.
  • Objectionable content.
  • Fraud or unlawful activity.
  • Repeated or serious violations.
  • Attempts to bypass a block or suspension.
  • Conduct that places another person at risk.
  • Conduct that materially harms WATO or its users.

After account termination:

  • Your right to use the Service ends immediately.
  • Some User Content may be deleted or anonymised.
  • Information may be retained where required for legal, security, payment, fraud-prevention or moderation purposes.
  • Active subscriptions may need to be cancelled separately through the relevant payment provider.

Sections intended by their nature to continue after termination will remain in effect, including provisions concerning ownership, licences, liability and dispute resolution.

23. Changes to these Terms

We may update these Terms to reflect:

  • Changes to WATO's functionality.
  • Changes to our safety or moderation systems.
  • Legal or regulatory requirements.
  • Changes to third-party services.
  • Operational or security requirements.

The updated Terms will display a revised “Last updated” date.

Where a change is material, we may notify you through WATO, by email or through another reasonable method.

We may require you to actively accept a new version of the Terms before continuing to use WATO. Continued use after the effective date of an updated version constitutes acceptance where permitted by law.

24. Governing Law and Disputes

These Terms are governed by the laws of England and Wales.

The courts of England and Wales will have jurisdiction over disputes relating to these Terms, except where mandatory consumer-protection law gives you the right to bring a claim in the courts of your country or region.

Before starting formal legal proceedings, you and WATO agree to make a reasonable effort to resolve the dispute informally by contacting the other party.

25. General Provisions

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions will continue in effect.

Our failure to enforce a provision immediately does not waive our right to enforce it later.

You may not transfer your rights or obligations under these Terms without our written permission.

We may transfer our rights or obligations as part of a merger, restructuring, sale of business or transfer of the WATO Service, subject to applicable law.

These Terms, together with our Privacy Policy and any purchase terms presented to you, form the agreement between you and WATO concerning your use of the Service.
